1. Introduction and Acceptance

These Terms & Conditions ("Terms") are published by Frampol Africa (Pty) Ltd ("Frampol", "we", "us", "our") and govern access to and use of any website, web application, online form, portal or digital service operated or managed by Frampol, including but not limited to the kitft.co.zw website and the KITFT online entry system (collectively, the "Services").

By accessing or using any Frampol Service, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not use the Services. Where a Service relates to a specific event or tournament, such as the Kariba International Tiger Fish Tournament ("KITFT"), additional event-specific terms, rules and indemnity documents apply and are incorporated into these Terms by reference.

If you are accessing a Service on behalf of a team, club, company or other organisation, you confirm that you have authority to bind that organisation to these Terms.

2. Definitions

  • "Frampol" means Frampol Africa (Pty) Ltd, its holding company, subsidiaries, affiliates, employees, contractors and agents.
  • "Event Partner" means an organisation for which Frampol provides digital, technical, connectivity or content services, including the KITFT committee and the National Anglers Union of Zimbabwe ("NAUZ").
  • "Content" means all text, images, graphics, video, data, software and other material made available through a Service.
  • "User Content" means any information, data or material submitted by a User through a Service, including entry information, team and angler details, and payment references.

3. About Frampol and Scope of These Terms

Frampol provides digital transformation, connectivity, web development and related services. Frampol has been engaged by KITFT as its digital transformation partner and, in that capacity, manages the kitft.co.zw website and the associated online entry system on KITFT's behalf. These Terms apply generally across Frampol's digital properties; where a Service is specific to a particular event or client (such as KITFT), the event-specific rules published on that Service take precedence in the event of a direct conflict, but these general Terms continue to apply to all matters not specifically addressed.

4. Eligibility and Accounts

Some Services may require you to register, verify your identity (for example, via a one-time PIN sent to a previously registered email address or cell number), or create an account. You agree to:

  • provide accurate, current and complete information when prompted;
  • keep your login credentials, verification codes and account details confidential;
  • promptly update your information if it changes, including via any "Update My Details" function made available; and
  • notify Frampol promptly of any unauthorised use of your account.

Frampol reserves the right to refuse, suspend or terminate access to a Service, including a specific entry or account, where it reasonably suspects fraud, misuse, or a breach of these Terms.

5. Use of the Services

You agree to use the Services only for their intended purpose — including, where applicable, submitting or managing a tournament entry — and not to:

  • submit false, misleading or fraudulent information, including impersonating another angler, captain or team;
  • attempt to access another team's or angler's records without authorisation;
  • interfere with, disrupt or attempt to circumvent the security of a Service, including automated scraping, data mining or load-testing without written consent;
  • upload any content that is unlawful, defamatory, obscene or infringes the rights of a third party; or
  • use the Services in a manner that could damage, disable or impair Frampol's or any Event Partner's systems.

6. Tournament Entries and Event-Specific Terms

Where a Service is used to enter a tournament such as KITFT, the following apply in addition to the general Terms:

  • Entries are only confirmed once the required entry fee, or acceptable proof of payment, has been received and the entry has been reviewed and approved by the relevant organiser.
  • Team captains are responsible for the accuracy of all information submitted on behalf of their team members, including contact, membership and medical information, and for obtaining each member's consent to submit that information.
  • All applicable participants must be paid-up members of a club affiliated to NAUZ (or the equivalent body for international participants), and entries may be declined or disqualified where this requirement is not met.
  • Participation in KITFT is further governed by the KITFT Indemnity Form and the official tournament rules published by the KITFT committee, both of which participants must read, understand and accept as part of completing an entry.
  • Frampol acts as the technology provider for the entry system; decisions on entry approval, disqualification, prize eligibility and tournament rules remain the responsibility of the KITFT committee.

6.1 Captain Acceptance of the KITFT Indemnity Form

Where the online entry system requires the team captain to tick a box to accept the KITFT Indemnity Form on behalf of the team, that action of ticking is confirmation, given by the captain on behalf of the team, that:

  • the captain has obtained each listed team member's informed consent both to be entered into the Tournament and to have that member's information (including medical information) submitted as part of the entry;
  • the captain has shared a copy of, or otherwise made reasonably available, the current KITFT Indemnity Form to each team member prior to submitting the entry, and has given each member a reasonable opportunity to read it; and
  • each individual team member nonetheless remains personally and individually bound by the terms of the Indemnity Form in respect of their own participation.

The captain's online acceptance does not replace or substitute for any individual signature that the Indemnity Form itself requires from a team member, reserve or driver. Where the Indemnity Form requires individual signatures (for example, via its team member signature schedule), those signatures must still be obtained, whether in physical or electronic form, before that individual participates in the Tournament. KITFT and Frampol reserve the right to request evidence of individual acceptance or signature at any time, including at registration or during the Tournament.

A team captain who ticks this box without having in fact obtained the consent described above, or without having shared the Indemnity Form as described above, does so in breach of these Terms and remains personally responsible for any resulting claim, in addition to any liability the relevant team member may have under the Indemnity Form itself.

7. Fees and Payments

Where a Service requires payment of a fee (such as a tournament entry fee), the applicable fee structure will be displayed on the relevant Service at the time of entry. Users are responsible for using the correct payment reference (typically the team name) so that payments can be matched to the correct entry. Frampol and the relevant Event Partner are not responsible for delays or non-allocation of an entry caused by an incorrect or missing payment reference. Fees are generally non-refundable except at the discretion of the relevant Event Partner.

8. Intellectual Property

Unless otherwise indicated, all Content made available through the Services, including logos, design elements, layouts and software, is owned by or licensed to Frampol or the relevant Event Partner and is protected by applicable intellectual property laws. You may view and use the Content for your own personal, non-commercial purposes in connection with your participation in an event or use of a Service. You may not reproduce, distribute, modify or create derivative works from the Content without prior written permission.

By submitting User Content (including photographs or information you provide), you grant Frampol and the relevant Event Partner a non-exclusive, royalty-free licence to use, reproduce and display that User Content for purposes reasonably connected to the operation, administration and promotion of the Service or event.

9. Photography, Video and Media

Tournaments and events supported by Frampol's Services, including KITFT, may be photographed or filmed for promotional purposes, including use on the relevant website and associated social media channels. Where a Service allows you to indicate a media consent preference during registration, Frampol and the relevant Event Partner will have regard to that preference, but general event coverage in public areas may still occur.

10. Third-Party Links and Services

The Services may contain links to, or integrate with, third-party websites or services (for example, payment providers, cloud storage, or sponsor websites). Frampol does not control and is not responsible for the content, policies or practices of any third-party service. Use of any third-party service is at your own risk and subject to that party's own terms.

11. Disclaimers

The Services are provided on an "as is" and "as available" basis. While Frampol takes reasonable steps to keep the Services accurate, secure and available, Frampol does not warrant that the Services will be uninterrupted, error-free or free of viruses or other harmful components. To the maximum extent permitted by law, Frampol disclaims all warranties, express or implied, in connection with the Services.

Nothing in these Terms limits or excludes liability for matters relating to the physical safety of participants during a tournament, such as KITFT, which are separately and specifically addressed in the applicable event indemnity documentation.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Frampol shall not be liable for any indirect, incidental, special or consequential loss or damage arising out of or in connection with the use of, or inability to use, the Services, including loss of data, loss of an entry, or loss of profit, even if Frampol has been advised of the possibility of such loss. Frampol's total aggregate liability arising out of or in connection with a Service shall not exceed the amount, if any, paid by the User for that specific Service in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Frampol and its officers, employees and agents from and against any claims, losses, liabilities and expenses (including reasonable legal costs) arising out of your breach of these Terms, your misuse of a Service, or the information you submit through a Service.

14. Privacy

Frampol's collection and use of personal information through the Services is described in the Frampol Privacy Policy, which forms part of these Terms by reference. By using the Services, you consent to the collection and processing of your information as described in that Privacy Policy.

15. Suspension and Termination

Frampol may suspend or terminate your access to a Service at any time, with or without notice, where it reasonably believes these Terms have been breached, where required by an Event Partner, or where necessary to protect the security or integrity of a Service. Sections of these Terms which by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and indemnification) will continue to apply.

16. Changes to These Terms

Frampol may update these Terms from time to time to reflect changes in the Services, legal requirements, or operational practice. The updated Terms will be published on the relevant website with an updated effective date. Continued use of a Service after changes are published constitutes acceptance of the revised Terms.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Zimbabwe. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the non-exclusive jurisdiction of the courts of Zimbabwe.
